End-User License Agreement

End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and True North IT Services, LLC (“True North IT,” “we,” “us,” or “our”) governing your use of the TNIT Admin application and related services (collectively, the “Application”).

By accessing or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree with these terms, do not use the Application.

1. License Grant

True North IT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for your internal business purposes, subject to the terms of this Agreement.

2. Description of the Application

The Application integrates with third-party services, including Intuit QuickBooks Online, to provide managed IT administration and business management functionality. The Application may access, retrieve, and process data from your connected QuickBooks Online account with your authorization.

3. QuickBooks Online Integration

By connecting your QuickBooks Online account to the Application, you authorize True North IT to access your QuickBooks data as necessary to provide the services described in the Application. You acknowledge that:

  • You are the authorized owner or administrator of the QuickBooks Online account you connect.
  • True North IT will access only the data necessary to perform the services you have requested.
  • You may disconnect your QuickBooks Online account from the Application at any time.
  • True North IT’s use of information received from Intuit APIs will adhere to the Intuit Developer Terms of Service.

4. Data Handling and Privacy

Your use of the Application is also governed by our Privacy Policy. We are committed to protecting your data and will:

  • Use your data only for the purposes described in this Agreement and our Privacy Policy.
  • Implement reasonable security measures to protect your data from unauthorized access.
  • Not sell, rent, or share your data with third parties except as necessary to provide our services or as required by law.
  • Delete or return your data upon termination of this Agreement, upon your written request.

5. User Responsibilities

You agree to:

  • Provide accurate and complete information when using the Application.
  • Maintain the security of your account credentials.
  • Comply with all applicable laws and regulations in connection with your use of the Application.
  • Not use the Application for any unlawful or unauthorized purpose.

6. Intellectual Property

The Application and all related intellectual property rights are and shall remain the exclusive property of True North IT. This Agreement does not grant you any rights to trademarks, service marks, or trade names of True North IT.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRUE NORTH IT DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUE NORTH IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF TRUE NORTH IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

This Agreement is effective until terminated. True North IT may terminate this Agreement at any time for any reason. You may terminate this Agreement by ceasing all use of the Application and disconnecting any linked accounts. Upon termination, all licenses granted under this Agreement will immediately cease.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

11. Changes to This Agreement

True North IT reserves the right to modify this Agreement at any time. We will notify users of material changes by posting the updated Agreement on our website. Your continued use of the Application after such changes constitutes acceptance of the modified Agreement.
